Reports to: Legal Manager Indirect Sales: Center of Excellence - Commercial Operations

Job Summary: As Senior Legal Counsel for Indirect Sales, you will provide strategic and operational legal support to markets where the company primarily—though not exclusively—operates through indirect sales channels (e.g., third-party distributors, resellers, and partners). This includes complex and high-risk jurisdictions, where heightened legal, regulatory, and geopolitical sensitivities require a proactive, risk-aware, and calculated legal approach to protect bioMérieux.  The role will focus on European and METER markets, with potential for coverage of additional markets.

You will ensure compliance with applicable laws and internal policies while enabling scalable, pragmatic, and business-friendly legal solutions. You will work closely with cross-functional teams to drive consistency, efficiency, and innovation in legal practices across multiple jurisdictions.

Location: Europe / METER 

Key Responsibilities:

  • Provide general legal support and advise to commercial, marketing and customer service teams.

  • Draft, review, and negotiate complex commercial agreements, including distribution, reseller, and partnership contracts. Where applicable, support direct sales transactions, including those involving end customers or public/private tenders.

  • Provide expert legal advice on indirect sales models and distribution frameworks, ensuring alignment with corporate strategies.

  • Work closely with other Center of Excellence experts to ensure compliance with global and local regulatory requirements, including anti-bribery, export control, sanctions, and data protection laws.

  • Identify and assess legal risks specific to high-risk markets (e.g., geopolitical instability, sanctions exposure, corruption risks), and develop mitigation strategies in collaboration with compliance and business teams.

  • Defend the interests of the company in pre-litigation and litigation in collaboration with external law firms and under the supervision of (or in consultation with) Legal Manager and as the case may be, with the Litigation Center of Excellence.

  • Serve as a trusted advisor to commercial stakeholders, particularly in sensitive or high-risk transactions, providing clear, actionable legal guidance.

  • Develop and implement best practices, templates, and scalable legal processes for sales team, leveraging technology and automation where appropriate.

  • Partner with other legal and compliance colleagues and Center of Excellence to ensure consistent application of legal standards and risk management practices across regions.

  • Monitor and analyze legal and regulatory developments in particular in high-risk markets, and communicate key insights to stakeholders.

In addition you will be asked to:

Advise Senior leadership in legal matters relevant to your responsibilities, particularly in complex or sensitive contexts;

Manage and lead complex legal matters with a high degree of autonomy, including cross-border negotiations and strategic legal assessments;

Represent the legal function in cross-functional committees;

Provide advice /coaching/ training / assistance to junior legal team members;

Design and deliver training on advanced legal topics relevant to your area .

 Qualifications:

Juris Doctor (JD), Master of Laws (LL.M.), or equivalent legal qualification.

Significant experience in commercial law within an international corporate environment.

Demonstrated expertise in drafting and negotiating commercial agreements.

Strong understanding of legal and compliance risks in high-risk markets (e.g., sanctions, anti-corruption, export controls).

Excellent communication, negotiation, and analytical skills.

Proven ability to work collaboratively across global teams and align legal advice with business strategy.

Pragmatic, solution-oriented mindset with the ability to manage complexity and ambiguity in a fast-paced environment.
