As part of the Corporate Law & Insurance team and reporting to the Corporate & Insurance Legal Director, the Legal Counsel will work across a broad and cross-functional scope. They will develop legal expertise relating to bioMérieux SA’s obligations as a listed company in the areas of CSR, CSRD and environmental law, and will support the teams in addressing the resulting implications, particularly in terms of governance and liability. In parallel, they will contribute to strengthening the overall management of the Group’s insurance programs and to connecting the various related considerations, including legal, business and risk management matters.
Corporate Law – CSR:
- At Corporate level, provide legal insight within the LCI&PA Department on bioMérieux SA’s obligations as a listed holding company in relation to CSR, CSRD, ESRS standards, environmental law and, more broadly, sustainability regulations, in cooperation with the dedicated teams.
- Analyze the impact of these regulations on the governance of bioMérieux SA and its governing bodies, particularly the responsibilities of the Board of Directors, its committees and executive officers, as well as the risks of liability. Contribute, for example, to identifying the skills required within these governing bodies and the appropriate information, awareness or training initiatives.
- Provide legal support in sensitive situations, claims, inspections, pre-litigation matters or litigation relating to these topics, in coordination with the relevant internal teams and external counsel.
- Assess legal and sustainability risks in light of their governance and communication implications, Risk Management and internal control frameworks, insurance programs, and any potential coverage, recovery or recourse options.
- Monitor regulatory developments and contribute to reviewing, securing and ensuring the consistency of bioMérieux SA’s communications on CSR, CSRD and environmental matters, including the Universal Registration Document, management report, corporate communications, environmental claims and any other sensitive document.
- Act as the Corporate legal point of contact within the LCI&PA Department, in a role that is distinct from and complementary to that of the CSR/Sustainable Development team, working closely with Corporate Law & Insurance, Risk & Internal Control, HSE, Finance, Compliance, Communications, Litigation and Insurance teams, regional legal teams and other relevant stakeholders.
Insurance:
- Contribute to the management, coordination and optimization of the Group’s insurance programs, incorporating lessons learned from claims experience into risk assessment and insurance strategy.
- Ensure the proactive operational management of claims through closure and settlement, in coordination with internal teams, brokers, insurers, experts and relevant counsel, and contribute to managing related recourse and recoveries.
- Participate in insurance program renewals by collecting, consolidating and validating data relating to risks, exposures and insured values, and by monitoring budgets, premiums and payments.
- Manage insurance certificates, contribute to reporting and improve visibility over the Group’s costs, claims experience and exposures.
- Prepare and maintain policy summaries, internal guides, training materials and communication tools in order to harmonize processes and develop an insurance culture across the Group.
- Strengthen cross-functional coordination with the relevant functions, particularly Risk Management, Finance, Legal and operational teams, to foster an integrated approach to risk prevention, control and transfer.
Reporting line and operating model
As a member of the Corporate Law & Insurance team within LCI&PA, the Legal Counsel will perform their duties under the supervision of the Corporate Law & Insurance Director and in close collaboration with the Insurance Legal Counsel.
